ConventionPlanit.com maintains a site on the World Wide Web available at the URL http://www.ConventionPlanit.com, at which ConventionPlanit.com provides the meeting, event and tradeshow planning community with a comprehensive web based portal designed to facilitate easy access to information on destinations, facilities, service providers and other industry related resources.
ConventionPlanit.com offers six levels of advertising ("the Advertisements"):
(I) Ruby Listing. An annual Ruby Listing includes the Advertiser's business name, street address, city, state or province and country, plus the Advertiser's telephone number, facsimile number, e-mail address, a map of Advertiser's location, an image of Advertiser's logo, URL, two photos, virtual tour link, and up to 500 words describing the Advertiser's facilities and services, and listing in search results in Bold Type. Annual listing period will begin 30 days from receipt of signed contract.
(II) Sapphire Listing. An annual Sapphire Listing includes the information contained in the Ruby Listings, four flash photographs of the Advertiser's facility, and premium placement in search results. Annual listing period will begin 30 days from receipt of signed contract.
(III) Diamond Listing. An annual Diamond Listing includes the information contained in the Sapphire Listings, eight flash photographs of the Advertiser's facility, and premium placement in search results. Annual listing period will begin 30 days from receipt of signed contract.
(IV) Special Meeting Offers. Quarterly subscriptions are available to paid advertisers. Paid advertisers are eligible, subject to specific terms and conditions, to promote future need periods on ConventionPlanit.com's "Special Meeting Offers" page.
1. Content of Advertisements.
(a) The specific Content to be contained in the Advertisements is determined by the Advertiser subject to ConventionPlanit.com's technical limitations, the terms of the written Agreement executed between ConventionPlanit.com and the Advertiser, and ConventionPlanit.com's then-applicable policies relating to advertisements and promotions. The Advertisements shall not contain any Content that is obscene, libelous, slanderous, defamatory, or infringes any third party's proprietary rights. The Advertisements shall contain only Content that is directly related to Advertiser's facilities, services and events, and shall not contain any Content relating to any third party facilities, services or events or promote any third party's facilities, services or events, and the Advertisements shall not contain any services of any party reasonably construed to be in competition with ConventionPlanit.com.
(b) The Advertiser will provide to ConventionPlanit.com for its review all text and graphics for the Advertisements in a reasonable medium requested by ConventionPlanit.com at least 10 days before such Advertisements are to be displayed on ConventionPlanit.com's Site. ConventionPlanit.com will review the Advertisements for consistency with the terms and conditions of its written Agreement with the Advertiser, and shall inform Advertiser of any changes that ConventionPlanit.com deems necessary in the Advertisements ConventionPlanit.com shall have prior approval over all Advertisements, which approval shall not be unreasonably withheld.
(c) Advertiser may submit updates to its Advertisements on a schedule set forth in the written Agreement.
2. Placement, Size and Duration of Advertisements.
(a) Except as otherwise provided herein, the specific placement and duration of Advertisements will be determined by ConventionPlanit.com in its reasonable editorial discretion (consistent with the editorial composition of the applicable screens).
(b) For a Ruby Listing, ConventionPlanit.com will include the Advertiser's Content in searchable form for location, features and for certain categories, size and quality.
(c) For a Sapphire Listing, ConventionPlanit.com will include the Advertiser's Content in searchable form for location, features and for certain categories, size and quality.
(d) For a Diamond Listing, ConventionPlanit.com will include the Advertiser's Content in searchable form for location, features and for certain categories, size and quality.
(e) ConventionPlanit.com will use commercially reasonable efforts to provide user access to ConventionPlanit.com's Site on a continuous, twenty-four hours per day, seven days per week basis during the Term of this Agreement.
(f) ConventionPlanit.com may redesign or modify the organization, structure, "look and feel," navigation and other elements of ConventionPlanit.com's Site at any time.
3. Grant of Rights.
Subject to the terms and conditions set forth in the written Agreement, ConventionPlanit.com will typically grant to Advertiser a worldwide, nonexclusive right to display on ConventionPlanit.com's Site.
4. Payments.
ConventionPlanit.com accepts Visa, MasterCard, American Express, Wire Transfers, and Business Checks. Prior to the placement of an Advertisement on ConventionPlanit.com's Site, ConventionPlanit.com will typically collect a nonrefundable fee in accordance with a schedule set forth in the written Agreement.
